Within the Law Department, the Investments Law section provides legal and strategic counsel to MetLife’s global team of investment professionals across the US, UK, EMEA, Asia and Latin America.  Investments Law is comprised of approximately 40 legal professionals, aligned by asset classes, product development, distribution and operations, and investment legal support for MetLife’s affiliated insurance companies and MetLife Investment Management.  Its mission is to serve as trusted advisors to our business partners, on diverse transactions, product development activities, operational and client support matters, and on regulatory matters.

The Role:

Reporting to the SVP & Associate General Counsel for Investments Products, Distribution, & Operations (PDO) this role is for an investment management attorney to support a growing global investment management business The PDO unit provides legal services and strategic advice across the breadth of MIM’s offerings, including private funds, separately managed accounts in various asset classes, investment advisory and related services. The team supports the build out and growth of the business and investor base, including global regulatory counsel, new product and fund development, managed account and guidelines drafting and negotiation, sales and marketing support, and oversight and expansion of the global operations platform organically and inorganically. Primary responsibilities of this attorney will be to provide legal support to the MIM platform on distribution, marketing, operations, product development and regulatory matters, private fund formation, and drafting and negotiation of legal documents with respect to such products and existing MIM funds.  The attorney will build positive business partner relationships with diplomacy, and drive results by providing best in class legal advice in a pragmatic and strategic manner in a collaborative environment.  The successful candidate will be an integral part of growing and evolving a dynamic investment management business.



Key Relationships:

  • Reports to:  SVP & Associate General Counsel, PDO unit head
  • Key Stakeholders:  MIM business partners in distribution, marketing, product development and asset sectors; functional partners supporting MIM in Risk, Compliance, HR, Finance, Government Relations, etc; colleagues in Investments Law and across Legal Affairs


Key Responsibilities:

  • Provide legal advice and counsel to our business partners on legal aspects of a sophisticated institutional investment management platform in a global insurance company.
  • Provide legal support in connection with negotiation of separate account investment management agreements in private and public fixed income asset classes for domestic and international institutional investors.
  • Provide ongoing legal support for existing MIM Funds, including review and negotiation of fund and other product documentation, including LPAs, PPMs, and investment management agreements.
  • Provide legal advice in support in connection with sales and marketing efforts of the MIM business, domestically and internationally.   
  • Provide regulatory advice in connection with MIM operating platform and Fund products to ensure adherence with Investment Advisors Act and applicable Securities Acts regulations.  
  • Support the operational and compliance requirements of this new business by providing cogent SEC and other regulatory guidance.
  • Maintain diplomatic client relationships and provide education to business partners on relevant legal developments while growing own business acumen.
  • Efficiently monitor and manage outside counsel’s work product and costs.
  • Prepare reports for Legal Affairs management.                 
  • Partner with our units in a collaborative manner to achieve enterprise goals.
  • Perform other duties as required.





  • Minimum of 3 years relevant investment management experience in-house with an investment management firm and/or with a law firm.
  • Strong legal drafting skills and contract negotiation skills.
  • Clear oral and written communication skills.
  • Willingness and desire to learn.
  • JD and NJ or PA  bar admission required (NJ  in-house counsel certification required to be maintained if admitted to another state bar). 




  • Knowledge of legal and regulatory issues pertaining to an investment management platform.
  • Knowledge of Investment Advisors Act of 1940.
  • Experience with private fund structuring and formation.
  • Experience with negotiation of separate account investment management agreements with institutional clients.
  • Ability to train and supervise paralegals.
