Department: The Investments Law team provides a broad array of legal services to MetLife Investments, comprised of MetLife’s Affiliated Insurance Companies Investment team (AIC) and MetLife Investment Management (MIM). MIM is MetLife’s asset management business that leverages our global scale and reputation, as well as the expertise of its talented investment professionals to deliver long-term investment solutions to institutional clients. MetLife formed MIM in 2012 and since then has grown the business significantly. Our growth has been driven by distinct investment strategies we offer to clients, like commercial mortgages, real estate equity, private placement debt and index strategies. These privately sourced assets – investments that are not publicly traded on an exchange – differentiate us in the marketplace as they provide our clients with access to markets they would not typically have.


The Role: Seasoned and highly experienced Fund structuring attorney to support growing global investment management business. Primary responsibilities of this attorney will be to provide legal support to the MetLife third party institutional investment management platform, which includes multiple private funds and separately managed accounts in various asset classes for both domestic and international institutional clients. Primary responsibilities will  include legal support for new product structuring,  private fund formation, fund of one structures,  and drafting and negotiation of legal documents with respect to such products and existing MIM funds.  The attorney will build positive business partner relationships with diplomacy grow talent by training and supervising junior associates and drive results by providing best in class legal advice in a pragmatic and strategic manner in a collaborative environment.


Key Responsibilities:

  • Form and structure new products in support of growing business initiatives; specifically private funds, fund- of one- structures, and other structured vehicles to accommodate domestic and international investor tax and regulatory needs.
  • Provide legal and strategic advice and counsel to our business partners and their senior management on all legal aspects of a sophisticated institutional investment management platform in a global insurance company.
  • Provide legal support in connection with negotiation of separate account investment management agreements in private and public fixed income asset classes for domestic and international investors.
  • Provide ongoing legal support for existing MIM Funds, including review and negotiation of fund and other product documentation, including LPAs, PPMs, and investment management agreements.
  • Provide legal advice in support in connection with sales and marketing efforts of the MIM business, domestically and internationally.   
  • Provide regulatory advice in connection with MIM operating platform and Fund products to ensure adherence with Investment Advisors Act and applicable Securities Acts regulations.  
  • Proactively and independently analyze and handle complex legal matters with minimal supervision, draft complex legal documents and negotiate matters with internal and external constituents unaided.
  • Prepare, initiate, advocate and effectively present legal points and recommendations to influence clients and to represent clients as legal counsel.
  • Support the operational and compliance requirements of this new business by providing cogent SEC and other regulatory guidance.
  • Maintain diplomatic client relationships and provide education to business partners on relevant legal developments while growing own business acumen.
  • Efficiently monitor and manage outside counsel’s work product and costs.
  • Prepare reports for Legal Affairs management.                 
  • Provide training to our business partners, junior associates and paralegals, and serve as a model of motivational leadership.
  • Partner with our units in a collaborative manner to achieve enterprise goals.
  • Perform other duties as required.

Candidate Qualifications:


Essential Business Experience and Technical Skills:

  • Juris Doctorate from an accredited law school.
  • Admitted to practice before Pennsylvania, New York or New Jersey State Bar.
  • Minimum of 8 years relevant investment management experience in-house or with a law firm.
  • Demonstrated and detailed knowledge of legal and regulatory issues pertaining to an investment management platform.
  • Strong technical and functional knowledge of Investment Advisors Act of 1940 and business acumen relevant to investment management platforms.
  • Familiarity with ERISA is a plus. 
  • Crisp, clear business partner oral and written communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice.
  • Ability to lead projects and manage interactions with senior investments personnel.
  • Proactive skill set to drive platform best practices and structure new products.
  • Ability to oversee operational compliance.
  • Excellent interpersonal and organizational skills and the ability work collaboratively within the Investments Law unit and across the enterprise while moving projects forward.
  • Leadership aptitude and interest in developing management competencies.
  • Ability to effectively organize and manage resources to meet deadlines.
  • Ability to train and supervise junior associates and paralegals.
  • Ability to independently analyze all legal issues, draft documents and negotiate.
