Department: The Legal Affairs line of business is comprised of the Law Department, Corporate Secretary’s Office and Legal Affairs Operations, and provides legal services and compliance oversight to the company, globally. Within the Law Department, the General Corporate section handles all types of corporate legal matters for MetLife, providing legal support for mergers and acquisitions, securities, securities offerings and related disclosures and filings, public company matters, financing of MetLife’s operations and capital raising activities global GIC program, insurance regulation, and other related matters. The General Corporate section effectively performs these services through six practice areas, or units: (1) Public Company Law; (2) Global Corporate Services; (3) Global IP / Technology & Regulatory; (4) Employee Benefits Tax; (5) Product Tax / ERISA; and (6) Information Life Cycle Management.


The Role: The Unit Manager for the Public Company Law Unit will report directly to the Chief Counsel, General Corporate. This senior level officer attorney will lead and manage the Public Company Law Unit of MetLife’s General Corporate section.  This position is ultimately responsible for managing and providing legal advice on securities, capital markets, and other public company matter.  Key internal partners include MetLife’s financial, investor relations, and communications professionals.  The role is a primary managerial role within the Legal Affairs Law Department managing a team of 5-6 attorneys.  This position advances the enterprise’s goal of managing teams, demonstrating strong leadership competencies and technical acumen.  The position will spend approximately 50% of the time leading, developing and motivating associates, and building a robust talent pipeline. 


Key Responsibilities:

  • Provide strategic and tactical thought leadership
  • In partnership with General Corporate Chief Counsel and other leaders, participate in setting and achieving departmental objectives and initiatives, developing talent, and managing resources
  • Manage the resource planning and workflow for the respective Unit to lead a team of lawyers who:
    • Provide legal analysis, advice, and counsel on securities filings (e.g., 10-K’s, 10-Q’s, 8-K’s, Proxy Statements), financial and other communications (e.g., earnings releases, investor presentations), and capital-raising transactions (e.g., registration statements and prospectus supplements).
    • Draft, and provide comments on drafts, of securities disclosures, financing and other agreements, investor presentations, other communications, and related material, both orally and in writing.
    • Work with, guide, and manage outside counsel for MetLife on matters, to the extent they are engaged on those matters.
  • Motivate, develop and lead a team of attorneys, including performance management and associate career development, leveraging the Performance Management Cycle / Process
  • Empower team members to drive engagement and high performance

  • Direct reports/team: 5-6 direct reports
  • Key Stakeholders: Investor Relations, Financial Management Group (FMG), Financial Reporting organization


Candidate Qualifications:


Essential Business Experience and Technical Skills:

  • JD and state bar admission required in New York
  • 10 or more years’ “in-house” or equivalent experience 
  • Proven record of leading, managing and developing high performing talent while driving successful results
  • Demonstrated strategic planning, analytical, problem-solving and organizational skills, with a proven record of proactively managing litigation risks and outcomes
  • Excellent communication and interpersonal skills, with a track record of building relationships and effective partnerships across constituencies and with outside counsel and stakeholders
  • Ability to present and communicate clearly and crisply to a variety of audiences
  • Self-directed, creative and strategic thinker who is collaborative and decisive, uses sound judgment, exhibits a high degree of professionalism, establishes priorities, adheres to deadlines, works independently, and motivates others
  • Deep and broad understanding of public company law, securities law, and corporate governance; strong research, analytic and problem-solving skills related to these areas
  • Experience in any of insurance legal issues, executive compensation, Section 16 disclosure, or practicing in a global environment, is a plus.
