The associate in this role will primarily serve as one of MetLife’s lead M&A lawyers helping develop and execute legal strategy and tactics for mergers and acquisitions transactions.  This attorney will work closely with MetLife’s Corporate Development, Mergers & Acquisitions Department (CDM&A) as well as other in-house attorneys, relevant lines of business and outside counsel to anticipate and analyze issues and develop solutions for all phases of acquisitions and dispositions, including initial analysis, bidding, due diligence, negotiation, and execution.  In addition, as capacity allows and under the supervision of in-house attorneys, this associate may (i) support MetLife’s Reinsurance Department by drafting and negotiating reinsurance agreements on behalf of MetLife and providing advice on structuring reinsurance for risk management and capital financing, (ii) support MetLife’s Global Procurement Department by drafting and negotiating procurement-related agreements on behalf of MetLife, and (iii) provide legal advice and support on special projects impacting MetLife’s global operations, including strategic technology initiatives and distribution arrangements in multiple jurisdictions. 


Key Responsibilities:  

CDM&A Activities

  • Acting as legal counsel to CDM&A and supporting business growth by advising on potential domestic and international mergers and acquisitions and other strategic transactions and initiatives.
  • Preparing detailed legal analysis in connection with potential strategic opportunities.
  • Providing legal services necessary to support global enterprise growth initiatives.
  • Managing MetLife’s approach to all phases of M&A transactions globally, from initial consideration of opportunities, engagement letters, confidentiality agreements, due diligence, bid letters, and purchase and sale agreements through to closing, including by leading and coordinating the M&A-related work of domestic and international lawyers from other units and sections.
  • Working closely and proactively in partnership with internal business partners and outside counsel to identify issues and develop practical solutions.
  • Keeping business partners and colleagues apprised of relevant issues and developments in M&A.
  • Negotiating outside counsel fees, effectively managing their performance and thoroughly reviewing invoices.

Reinsurance Activities

  • Drafting and negotiating a wide variety of reinsurance and related contracts, including individual and group life, employee benefits and international treaties and captive reinsurance solutions.
  • Providing strategic, practical legal advice on all of MetLife’s global reinsurance activities.
  • Supporting the Reinsurance Department in the development and implementation of policies and procedures to manage and mitigate compliance risk.

Global Procurement Activities

  • Drafting and negotiating a wide variety of procurement-related contracts, including outsourcing, consulting, call center, marketing, e-commerce, privacy and other supplier agreements.
  • Advise on international commercial contracts and cross border transactions for locations such as Latin America, Asia, Europe and the Middle East.

Other Activities

  • Providing legal advice and support on special projects impacting MetLife’s global operations, including strategic technology initiatives and distribution arrangements in multiple jurisdictions.


Essential Business Experience and Technical Skills:


  • Law degree (J.D. or equivalent) and bar admission required with a minimum of five years of M&A legal experience, preferably with a strong record of in-house success.
  • Highly collaborative, proactive business partner.
  • Strong leadership, interpersonal, communication and negotiation skills; performs well under pressure.
  • In addition to substantive legal knowledge, the position requires business acumen and life and annuity as well as asset management industry knowledge that will allow the successful candidate to provide timely and practical legal advice that appropriately balances relevant business considerations.
  • Ability to combine proficiency in M&A law and craft with understanding of strategic and business objectives and to deliver clear, concise and crisp legal advice in terms useful to non-lawyers.
  • Demonstrated presence and ability to influence outcomes and effectively advise senior management.
  • Ability to manage complex, multi-faceted transactions with multiple, inter-related work streams.
  • Demonstrated ability to proactively identify and escalate potential legal and business risks and to work collaboratively with business partners and colleagues at all levels and throughout an organization to craft effective solutions.


  • Some knowledge of international privacy and personal information protections laws/regulations desirable.
  • Some knowledge of the reinsurance industry, agreements, regulations and best practices, including the international reinsurance market and captive reinsurance arrangements desirable.
  • Some experience drafting and negotiating reinsurance treaties and related documentation desirable.
