We are seeking an attorney to join an active and fast-paced State Insurance Regulation Practice Group responsible for a broad range of insurance regulatory and corporate matters.  These matters include advice concerning insurance holding company law compliance and financial and risk reporting; insurance-related financing, capital management and M&A transactions; corporate governance issues; corporate structure matters; state insurance examinations; and legislative and regulatory proposals.   The position requires the attorney to work closely and proactively in partnership with internal business and legal partners and outside counsel to identify issues and develop practical solutions and to participate in discussions with state insurance regulators.  The attorney will act as a trusted advisor and partner to MetLife Global Government Relations and other business areas (including Finance, Treasury, Risk and Reinsurance) in developing and advocating positions to advance MetLife’s interests.  In addition, the attorney will communicate frequently with Law Department management and keep business partners and colleagues apprised of relevant issues, developments and preventative law measures in state insurance regulation.


Key Responsibilities:  

  • Provide advice and prepare necessary regulatory filings and other documentation in connection with enterprise M&A activity.
  • Coordinate and prepare numerous annual holding company filings for enterprise domestic insurance companies.
  • Provide advice and prepare transactional regulatory filings relating to inter-affiliate transactions.
  • Negotiate and draft documentation required for insurance reserve financing transactions, and  establish/maintain associated insurance captives.
  • Provide advice concerning the corporate structure of the enterprise and prepare documentation and required regulatory submissions for corporate restructurings.


Essential Business Experience and Technical Skills:



  • 4+ years of corporate transactional and/or regulatory experience at a major law firm and/or in-house legal department, and/or state or federal regulator, reflecting a record of accomplishment.  Insurance and/or other financial services experience a plus
  • Hold a Juris Doctor degree from an accredited law school and be admitted to the New York State (or other appropriate) bar.
  • Exhibit crisp, clear oral and written communication skills; demonstrate the ability to reduce legal issues to straightforward practical analysis and advice.



  • Exhibit good business acumen and familiarity with the market and regulatory landscape affecting global financial services companies.
  • Demonstrate persuasion and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues.
  • Command strong drafting, negotiating and analytical skills.
