This Corporate Counsel position will support the Legal team in advising human resources business partners (the “business partners”) on a variety of legal domestic and international employee benefit matters, including retirement, deferred compensation programs and health & welfare plans. The Corporate Counsel position will also provide legal counsel to payroll on related questions.    



Key Responsibilities:

  • Provide legal counsel to business partners on full range of issues in support of the in-house employee benefit and deferred compensation plans
  • Provide legal counsel to business partners to help ensure all benefit plans and programs follow applicable regulatory and legislative requirements, including but not limited to IRC, ERISA, HIPAA, COBRA, and PPACA
  • Draft and amend employee benefit plans and deferred compensation arrangements, including employee communication materials, as needed
  • Evaluate and advise business partners on claims and appeals with respect to the employee benefit plans
  • Conduct due diligence and provide legal support on employee benefits matters for corporate mergers and acquisitions, including post-merger integration benefit projects
  • Support business partners in review of general commercial contracts with respect to vendor relationships on behalf of benefit plans
  • Provide legal support to benefit plan governance committees, including investment matters, compliance and other tax and ERISA regulatory matters
  • Track legislation affecting employee benefits to determine the impact to in-house employee benefit plans and communicate to business partners the impact of laws to employee benefit plans
  • Provide legal counsel to business partners on various employment tax-related compliance issues including the determination of taxation of compensation, fringe benefits and payroll related items
  • Provide legal counsel to business partners in handling global mobility, expatriate and international assignment matters
  • Review and evaluate requests for contingent workers and advise any potential misclassification issues from a company policy perspective with a focus on IRS perspective



Essential Business Experience and Technical Skills:

  • Minimum of five years of experience as legal counsel to management and/or Human Resources business partners in either a law firm, a consulting firm or as in-house counsel
  • Juris Doctorate degree required, Master of Laws (“LLM”) a plus
  • Firm knowledge of U.S. benefit laws with respect to retirement, deferred compensation, heath & welfare, including IRC, ERISA, HIPAA, COBRA and PPACA
  • Working knowledge of international benefits programs, regulations and income tax treaties
  • Strong writing skills
  • Team player with strong interpersonal and communication skills and ability to multi-task and prioritize
  • Good business acumen and ability to provide both technical and practical legal counsel to internal business partners
  • Current member of a state bar in good standing
